Terms of Service
LEGAL_DOCUMENTS_APPROVED=true before public launch.These Terms of Service govern access to UANDOR SCOUT provided by Uandor, Inc. (“Uandor,” “we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms and the Privacy Policy.
1. Accounts and authority
You must provide accurate account information, protect your credentials, and promptly report suspected compromise. You represent that you have authority to accept these Terms for yourself and, when applicable, the organization that owns your workspace. Workspace owners are responsible for members, roles, source documents, research data, and use of the service within their workspace.
2. Service description
The service helps users analyze research opportunities, discover public scholarly evidence, maintain private relationship information, and compose research teams. Results are decision-support outputs, not guarantees of award, qualification, availability, identity, employment, clearance, legal compliance, or successful performance. Users must independently verify researchers, affiliations, publications, conflicts, permissions, and proposal requirements.
3. Customer content and permissions
You retain ownership of documents, résumé/CV files, notes, and other content you submit. You grant Uandor a limited right to host, process, back up, and display that content solely to operate, secure, support, and improve the service for your workspace. You must have lawful authority to upload and process the content, including personal information about candidates or collaborators.
4. Public data and third-party services
The service may retrieve scholarly metadata from OpenAlex and may use Stripe for payment processing, transactional email providers, object storage, monitoring, and identity providers. Third-party data may be incomplete, delayed, or inaccurate. Third-party services are governed by their own terms and availability.
5. Acceptable use
You may not use the service to violate law; infringe intellectual property or privacy rights; scrape or redistribute restricted third-party data; upload malware; circumvent access controls or plan limits; probe another tenant; impersonate a person; make prohibited employment decisions without human review; or use the service for harassment, discrimination, surveillance, weapons targeting, or other unlawful harm. Automated recommendations must be reviewed by a qualified human.
6. Subscriptions, licenses, and payment
Paid subscriptions renew monthly until canceled. Prices, included user licenses, and plan features are shown before Checkout. Stripe processes payment information; Uandor does not store complete card numbers. Plan changes, proration, invoices, payment-method updates, and cancellation are managed through Stripe Checkout or the Stripe Customer Portal. Failed or overdue payments may restrict access after any stated grace period. Unless a different written agreement applies, fees are non-refundable, and taxes are the customer’s responsibility.
7. Suspension and termination
We may suspend or terminate access to protect the service, another tenant, or a third party; respond to legal requirements; address nonpayment; or enforce these Terms. You may cancel a subscription through the Customer Portal and may request account deletion in the application. Workspace-owned content may remain available to other workspace members after an individual account is deleted.
8. Security and confidentiality
We use administrative, technical, and organizational safeguards appropriate to the service. No system is completely secure. Do not upload classified information, export-controlled technical data, protected health information, controlled unclassified information, or other specially regulated data unless a separate written agreement and approved deployment expressly permit it.
9. Intellectual property
Uandor and its licensors own the platform, software, interface, documentation, and underlying methods, excluding customer content and third-party data. No rights are granted except the limited, revocable right to use the service during an active account or subscription.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” UANDOR DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. RESEARCHER RANKINGS AND TEAM RECOMMENDATIONS ARE EVIDENCE-BASED ASSISTANCE, NOT PROFESSIONAL, LEGAL, FINANCIAL, EMPLOYMENT, OR PROCUREMENT ADVICE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UANDOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OPPORTUNITIES, OR GOODWILL. UANDOR’S AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100 IF NO FEES WERE PAID.
12. Indemnification
To the extent permitted by law, you will defend and indemnify Uandor from claims arising from your content, unlawful use, violation of these Terms, or infringement of another person’s rights.
13. Changes
We may update these Terms. Material changes will be identified by a new version and may require renewed acceptance. Continued use after an effective change constitutes acceptance where permitted by law.
14. Governing law and contact
These Terms are governed by the laws of Delaware, without regard to conflict-of-law rules, except where mandatory law requires otherwise. Questions may be sent to privacy@uandor.com or support@uandor.com.
